Role Overview:
Greenstone Equity Partners is seeking an experienced and detail-oriented Company Secretary to join our team in the United Arab Emirates. The ideal candidate will play a crucial role in ensuring the company’s compliance with legal and regulatory requirements, managing corporate governance, and supporting the board of directors. The Company Secretary will be responsible for maintaining corporate records, facilitating board meetings, and providing expert advice on corporate governance matters.

Key Responsibilities:
- Corporate Governance: Ensure that the company complies with all statutory and regulatory requirements. Advise the board of directors on governance best practices and regulatory changes.
- Board Support: Organize and facilitate board meetings, including preparing agendas, distributing meeting materials, taking minutes, and ensuring timely follow-up on action items.
- Record Maintenance: Maintain accurate and up-to-date corporate records, including registers of members, directors, and secretaries. Ensure proper documentation of resolutions, meeting minutes, and other corporate actions.
- Legal Compliance: Monitor and ensure compliance with relevant laws, regulations, and corporate policies. Coordinate with legal counsel as necessary to address complex compliance issues.
- Stakeholder Communication: Serve as a liaison between the board, senior management, and external stakeholders. Facilitate effective communication and ensure transparency in corporate matters.
- Annual Filings: Prepare and file annual returns, financial statements, and other statutory documents with relevant authorities in a timely manner.
- Policy Development: Assist in the development and implementation of corporate governance policies and procedures. Provide training and guidance to staff on governance-related matters.
- Risk Management: Identify and mitigate corporate governance risks. Ensure the company’s risk management framework is robust and effective.
Qualifications:
- Education: Bachelor’s degree in Law, Business Administration, or a related field. Professional qualifications such as ICSA (Institute of Chartered Secretaries and Administrators) are highly desirable.
- Experience: Minimum of 5 years of experience in a company secretarial role, preferably within the financial services or investment management sector.
Skills:
- Strong knowledge of corporate governance and compliance requirements.
- Excellent organizational and time management skills.
- Exceptional communication and interpersonal abilities.
- Proficiency in Microsoft Office Suite and corporate governance software.
- High attention to detail and accuracy in record-keeping.
