Position Overview:

CM Law is seeking an experienced and highly motivated Corporate Lawyer to join our legal team in Luxembourg. The ideal candidate will have a strong background in corporate law, with specific experience in mergers and acquisitions, corporate governance, and regulatory compliance. As a Corporate Lawyer at CM Law, you will work closely with clients to provide expert legal counsel and support throughout various corporate transactions and legal processes.

Key Responsibilities:
  • Corporate Transactions: Advise clients on corporate transactions, including mergers, acquisitions, joint ventures, and restructurings. Draft, review, and negotiate legal documents such as contracts, shareholder agreements, and transaction agreements.
  • Corporate Governance: Provide guidance on corporate governance matters, ensuring compliance with Luxembourg’s corporate laws and regulations. Assist clients in setting up and maintaining corporate structures, including board meetings and shareholder relations.
  • Regulatory Compliance: Stay updated on relevant laws and regulations, ensuring clients are compliant with Luxembourg’s corporate and financial regulations. Provide legal counsel on cross-border transactions and related compliance requirements.
  • Client Relations: Develop and maintain strong relationships with clients, acting as a trusted advisor for their corporate legal needs. Communicate complex legal concepts in a clear and understandable manner.
  • Due Diligence: Conduct thorough due diligence for corporate transactions, identifying potential legal risks and providing recommendations for mitigation.
  • Team Collaboration: Collaborate with colleagues within CM Law and other external professionals, including accountants and consultants, to deliver comprehensive legal solutions.
Qualifications:
  • Master’s degree in Law, with a specialization in corporate law or a related field.
  • At least 3-5 years of experience in corporate law, preferably in a legal firm or corporate legal department.
  • Strong knowledge of Luxembourg’s corporate laws and regulations.
  • Excellent communication and negotiation skills.
  • Ability to manage multiple projects and meet deadlines in a fast-paced environment.
  • Fluency in English; proficiency in French or German is a plus.
  • Ability to work collaboratively and contribute to a positive team environment.
